This CLE video focuses in on the legal nuances of advising breweries and their key decision makers on how to operate their businesses efficiently, effectively, and strategically with respect to distribution and franchise laws. We focus on the different business models of wholesale distribution, self-distribution, and brewpub/tasting room. Within each of these business models are specific strategic and legal choices that affect a craft brewery's margin structures. Specifically, we will discuss the history of federal and state level craft beer laws (Including the 21st Amendment), excise taxes, the US and Oregon craft beer market characteristics, the 3-tiered system, distribution agreements, key provisions and statutes, and ending a wholesale relationship. We conclude with specific exhibits from distribution agreements, including sales and marketing plans as well as advice for marketing messages, laudatory language and social media best practices.
